Comment la loi d\u00e9finit-elle le savoir-faire en franchise ? <\/h3>\n

Selon l’Article 1.g) du R\u00e8glement d\u2019Exemption n\u00b0330-2010, communautaire publi\u00e9 le 20 avril 2010 et entr\u00e9 en vigueur en juin 2010 pour une p\u00e9riode de validit\u00e9 allant jusqu\u2019au 31 mai 2022,\u00a0 le savoir-faire doit \u00eatre entendu comme un ensemble \u00ab\u00a0secret\u00a0\u00bb<\/b> (difficilement accessible par une personne ext\u00e9rieure au r\u00e9seau), \u00ab\u00a0substantiel\u00a0\u00bb (ce\u00a0\u00a0 qui signifie\u00a0 qu’il\u00a0 est\u00a0 important, significatif, utile et\u00a0 qu’il procure un avantage concurrentiel<\/b> pour le franchis\u00e9) et \u00ab\u00a0identifi\u00e9\u00a0\u00bb (d\u00e9crit\u00a0 d’une\u00a0 fa\u00e7on\u00a0 suffisamment\u00a0 compl\u00e8te<\/b>\u00a0 pour\u00a0 permettre de v\u00e9rifier\u00a0 s’il\u00a0 remplit\u00a0 les\u00a0 conditions\u00a0 de\u00a0 secret\u00a0 et\u00a0 de\u00a0 substantialit\u00e9). Quels moyens de transmission ? <\/h3>\n

La transmission du savoir-faire passe essentiellement par la formation initiale<\/b>. Cette derni\u00e8re intervient avant le d\u00e9but de l\u2019activit\u00e9 et a pour objectif de permettre au franchis\u00e9 de d\u00e9couvrir le concept, de comprendre le m\u00e9tier, d’acqu\u00e9rir les connaissances et les comp\u00e9tences n\u00e9cessaires, de se mettre dans la peau d’un chef d’entreprise (gestion, management…), et d\u2019assurer la transmission des savoir-faire techniques et pratiques sp\u00e9cifiques \u00e0 l\u2019activit\u00e9 exerc\u00e9e. La formation initiale se compose souvent de deux volets : un volet th\u00e9orique et un volet pratique en immersion sur le terrain dans l’unit\u00e9-pilote de l’enseigne ou\/et dans un point de vente en franchise ou en succursale. Sa dur\u00e9e, son contenu et ses modalit\u00e9s de mises en place diff\u00e8rent d\u2019une franchise \u00e0 l\u2019autre.<\/p>\n

Le deuxi\u00e8me outil \u00e0 la disposition du franchiseur pour transmettre son savoir-faire est le manuel op\u00e9ratoire<\/b> (appel\u00e9 aussi bible en Europe ou aux Am\u00e9riques.). C’est un document complexe, \u00e0 vocation p\u00e9dagogique et programmatique, soigneusement pr\u00e9par\u00e9 par le franchiseur, clair, performant et \u00e9volutif afin de tenir compte des am\u00e9liorations et des \u00e9ventuels perfectionnements apport\u00e9s par le franchiseur. Le manuel op\u00e9ratoire doit d\u00e9tailler, lister et expliquer l’ensemble des techniques (de fabrication et \/ou commercialisation, marketing, gestion, etc.), proc\u00e9dures, m\u00e9thodes, pratiques, outils et processus sp\u00e9cifiques mis en place et test\u00e9s par le franchiseur. Les manuels op\u00e9ratoires sont remis au franchis\u00e9 \u00e0 l\u2019issue de la formation initiale et une fois que le contrat aura \u00e9t\u00e9 sign\u00e9.<\/p>\n

Le savoir-faire en fin de contrat <\/h3>\n

Il arrive que certains franchis\u00e9s, \u00e0 l’expiration de leur contrat de franchise, d\u00e9cident d’exercer seuls la m\u00eame activit\u00e9, en pensant qu\u2019ils ma\u00eetrisent tellement bien le savoir-faire, qu\u2019ils n\u2019ont plus besoin du franchiseur. Le contrat pr\u00e9voit le plus souvent une interdiction d\u2019utiliser le savoir-faire du franchiseur en fin de contrat<\/b>. Mais il y a des conditions afin que cette clause soit applicable. Il faut prouver que nous sommes en pr\u00e9sence d\u2019un savoir-faire r\u00e9ellement original. Les savoir-faire qui se ressemblent, la forme de standardisation dans le fonctionnement des r\u00e9seaux favoris\u00e9e par les normes de type ISO, la possibilit\u00e9 d’acc\u00e9der \u00e0 des recettes et \u00e0 des m\u00e9thodes en instantan\u00e9 gr\u00e2ce au web…, rendent la t\u00e2che assez compliqu\u00e9e. Le franchiseur doit assurer la transmission de son savoir-faire tout en veillant \u00e0 ce que ce dernier ne soit pas par la suite exploit\u00e9 par des franchis\u00e9s qui se lancent seuls \u00e0 l’expiration de leur contrat ! <\/div>\n<\/div><\/div>\n<\/p><\/div>\n<\/p><\/div>\n<\/p><\/div>\n

Franchiseur : comment prot\u00e9ger votre savoir-faire ? <\/h3>\n
\n
Prot\u00e9ger son savoir-faire passerait par une dissociation du savoir-faire transmis au franchis\u00e9<\/b> gr\u00e2ce \u00e0 la formation et au manuel op\u00e9ratoire (connaissance des produits, ma\u00eetrise de la strat\u00e9gie de promotion et des techniques de vente…), et du savoir-faire mis \u00e0 sa disposition<\/b> et dont il ne pourra plus b\u00e9n\u00e9ficier une fois le contrat de franchise expir\u00e9 (renforcement de la marque, dynamique de l\u2019\u00e9volution de la gamme de produits, traitement des fichiers clients, n\u00e9gociations fournisseurs, dynamique de l\u2019animation, syst\u00e8mes et outils d\u2019information…). La force du savoir-faire mis \u00e0 disposition r\u00e9duit l\u2019envie de quitter la franchise et contribue \u00e0 sensibiliser le franchis\u00e9 quant aux avantages d’\u00e9voluer au sein d’un r\u00e9seau. <\/p>\n
