Affiliation<\/h3>\n
\n

On vous parle d’affiliation, c’est une adh\u00e9sion \u00e0 un r\u00e9seau ou une centrale. On peut parler d’affiliation :
– \u00e0 une centrale d’achat m\u00eame si vous n’utilisez pas une enseigne commune au r\u00e9seau<\/b>. On parle aussi de groupement d’achat. Vous \u00eates affili\u00e9 \u00e0 un groupement d’achat.
– \u00e0 une centrale de prestation de service comme les centrales de r\u00e9servation h\u00f4teli\u00e8re<\/b> qui peuvent fonctionner avec ou sans enseigne commune ou label commun.<\/p>\n

On parle aussi parfois, de mani\u00e8re trop peu pr\u00e9cise, d’affiliation \u00e0 un r\u00e9seau sous une enseigne commune mais dans ce cas il est utile de comprendre que le mot affiliation a un sens tr\u00e8s, trop,\u00a0large et que le contrat est en fait plus complet qu’une simple affiliation. On devrait alors parler de\u00a0contrat de licence de marque, de concession, de franchise…. \u00e0 d\u00e9couvrir dans les articles des jours qui suivent.<\/p>\n

A l’expiration du contrat de franchise, de concession, etc, une clause de non affiliation<\/b> peut \u00eatre pr\u00e9vue, qui interdit alors de\u00a0s’affilier \u00e0\u00a0un\u00a0r\u00e9seau concurrent, g\u00e9n\u00e9ralement quelque soit la forme du contrat, franchise, concession, licence, simple affiliation \u00e0 une centrale d’achat ou de prestation de services. En fait la plupart des contrats de franchise pr\u00e9voient m\u00eame une clause de non-concurrence durant le contrat et \u00e0 l’issue du contrat. Cette clause est r\u00e9glement\u00e9e par le droit europ\u00e9en et limit\u00e9e par la jurisprudence car elle oblige le franchis\u00e9 \u00e0 changer de m\u00e9tier !<\/p>\n<\/div><\/div>\n<\/p><\/div>\n<\/p><\/div>\n

La commission affiliation<\/h3>\n
La commission affiliation peut fonctionner en franchise <\/b>(avec transfert de savoir-faire) ou en concession ou licence de marque (sans transfert de savoir-faire) et permet au franchis\u00e9 de ne pas acheter les stocks. La t\u00eate de r\u00e9seau\u00a0demeure propri\u00e9taire de la marchandise, d\u00e9cide de l’approvisionnement,\u00a0r\u00e9cup\u00e8re les invendus et r\u00e9mun\u00e8re le distributeur en commissions sur le chiffre d’affaires r\u00e9alis\u00e9. L’avantage est \u00e9vident dans la mode car le r\u00e9seau peut aller plus vite pour suivre les tendances et diminue les frais commerciaux alors m\u00eame que le commissionnaire affili\u00e9 diminue son risque et ses besoins financiers. Au contraire dans le cas standard sans commission affiliation,\u00a0le commer\u00e7ant franchis\u00e9 ou autre ach\u00e8te\u00a0et paie la marchandise qu’il va distribuer. A suivre.
