Dans beaucoup de branches \u00e9conomiques et techniques, un vocabulaire sp\u00e9cifique a \u00e9t\u00e9 d\u00e9velopp\u00e9 souvent opaque pour les novices. La franchise sous toutes ses formes<\/h3>\n
La franchise est une forme de commerce dit \u00aborganis\u00e9\u00bb <\/b>qui se d\u00e9veloppe en r\u00e9seau. Un franchiseur s\u2019adresse \u00e0 des franchis\u00e9s pour reproduire son mod\u00e8le \u00e9conomique sous certaines conditions. <\/p>\n

Le franchiseur et le franchis\u00e9<\/b> : Un franchiseur est un entrepreneur ind\u00e9pendant<\/b> qui a cr\u00e9\u00e9 un concept de produits ou services. Pour se d\u00e9velopper, il peut lui-m\u00eame investir et reproduire le m\u00eame business ailleurs (c\u2019est un succursale) mais cela demande des investissements importants et il faut du temps. Soit il propose \u00e0 d\u2019autres entrepreneurs de reproduire \u00e0 l\u2019identique le business. Il leur donne alors toutes les clefs d\u2019entr\u00e9e et de fonctionnement moyennant finances.

Le franchis\u00e9 est lui aussi un entrepreneur ind\u00e9pendant juridiquement<\/b> et responsable de sa gestion qui cherche un business \u00e0 d\u00e9velopper. Il peut le faire soit en solo soit en copiant un mod\u00e8le \u00e9prouv\u00e9 en s\u2019adressant \u00e0 un franchiseur. C\u2019est donc la collaboration entre deux entreprises ind\u00e9pendantes d\u00e9veloppant une enseigne et tout ce qui s\u2019y rattache (d\u00e9co, packaging, produits, prix mais aussi savoir-faire, m\u00e9thode, gestion, marketing, pub)  qui fait la franchise. cette collaboration se concr\u00e9tise par un contrat commercial. Chacun ayant des droits et des devoirs l\u2019un envers l\u2019autre. <\/p>\n

la commission affiliation<\/a> est une variante tr\u00e8s proche de la franchise<\/b> La seule diff\u00e9rence tient au fait que le stock est g\u00e9r\u00e9 par le franchiseur. Le franchis\u00e9 n\u2019ach\u00e8te pas le stock, il rend les invendus en fin de saison et per\u00e7oit une commission sur les ventes. Cette formule est tr\u00e8s utilis\u00e9e dans le pr\u00eat \u00e0 porter.<\/p>\n

 La master-franchise<\/a><\/b> : En cas de d\u00e9veloppement sur une r\u00e9gion ou un pays, un franchiseur peut alors d\u00e9l\u00e9guer contractuellement ses pouvoirs \u00e0 un master franchis\u00e9 qui d\u00e9veloppera \u00e0 sa place moyennant finance un r\u00e9seau identique \u00e0 celui cr\u00e9\u00e9 initialement. <\/p>\n

Du magasin pilote \u00e0 une signature de contrat de franchise<\/h3>\n
On peut qualifier de franchisable un mod\u00e8le commercial qui peut \u00eatre duplicabl<\/b>e. R\u00e9ussir une activit\u00e9, c\u2019est bien mais cr\u00e9er un concept adaptable et rentable c\u2019est autre chose. D\u2019o\u00f9 la notion de magasin pilote<\/b>. Un franchiseur s\u00e9rieux aura test\u00e9 son concept sur deux ou trois magasins pilote pour v\u00e9rifier la rentabilit\u00e9 dans des conditions donn\u00e9es. Le franchis\u00e9 pourra de visu se rendre compte de suite \u00e0 quoi ressemblera son futur business et notamment l\u2019emplacement qui reste toujours d\u00e9terminant.

 <\/b>Le
droit d\u2019entr\u00e9e<\/a><\/b> : Entrer en franchise n\u00e9cessite un investissement de base variable (en dehors du pas de porte) c\u2019est le droit d\u2019entr\u00e9e ou redevance forfaitaire initiale : une somme vers\u00e9e par le franchis\u00e9 au franchiseur en contrepartie des avantages et services rendus : acc\u00e8s au concept et \u00e0 sa notori\u00e9t\u00e9, savoir-faire, aide au d\u00e9marrage, formation initiale,  suivi, acc\u00e8s \u00e0 la centrale d\u2019achat ou de r\u00e9f\u00e9rencement, gestion, juridique,  etc\u2026<\/span> <\/p>\n

Ensuite, le franchis\u00e9 doit s\u2019acquitter de royalties tout au long du contrat<\/b>. Elles r\u00e9mun\u00e8rent le franchiseur qui met \u00e0 disposition des franchis\u00e9s des outils de gestion et de marketing et fait \u00e9voluer son concept. Cette redevance est fixe ou calcul\u00e9e en pourcentage sur le chiffre d\u2019affaires. elle est parfois de deux ordres : la redevance de marque et la redevance de services. I<\/p>\n

Avant de signer le contrat : La garantie d\u2019information minimum <\/h3>\n
La garantie d\u2019information minimum<\/b> : Le franchiseur doit l\u00e9galement remettre \u00e0 un futur franchis\u00e9 le DIP : ce Document d\u2019information pr\u00e9contractuel <\/b>doit consigner tous les renseignements sur le franchiseur (loi Doubin<\/a> en France, Loi Laruelle en Belgique, Loi sur la modernisation du commerce de 2009 en Tunisie<\/a>). Ses bilans, sa marque, les coordonn\u00e9s du franchiseur, les clauses cl\u00e9s du contrat, l\u2019\u00e9tat du march\u00e9 global et local. Il ne le remettra pas lors des premi\u00e8res rencontres mais doit le faire au moins 20 jours avant la signature du contrat. <\/p>\n

La bible<\/a> <\/b>: c\u2019est le manuel d\u2019exploitation qui sera remis par le franchiseur au franchis\u00e9 : il est sens\u00e9 contenir toutes les r\u00e9ponses aux questions que peut se poser le franchiseur d\u00e9butant ou non. Chaque contrat doit stipuler tr\u00e8s pr\u00e9cis\u00e9ment l\u2019accompagnement propos\u00e9 par le franchiseur tout au long de la dur\u00e9e de la collaboration mais aussi la sortie en fin de contrat : clause de non concurrence ou de non affiliation \u00e0 un r\u00e9seau<\/b>.
