Petit tour d’horizon des pratiques recommand\u00e9es.<\/h3>\n
La vente d’un magasin s’apparente parfois \u00e0 un parcours du combattant pour un ind\u00e9pendant. Le franchis\u00e9 pense pouvoir c\u00e9der son magasin, y compris \u00e0 un concurrent, au prix du march\u00e9. Mais, dans les faits, son contrat de franchise limite souvent sa libert\u00e9 d’action en l’obligeant \u00e0 faire agr\u00e9er le repreneur par le franchiseur.<\/b> Le litige entre l’affili\u00e9 et son enseigne se tranche parfois devant les tribunaux. Si l’issue est al\u00e9atoire, il est en revanche certain que la proc\u00e9dure retardera la vente.<\/div>\n<\/p><\/div>\n<\/p><\/div>\n<\/p><\/div>\n

Mieux vaut donc anticiper. \u00ab L’essentiel se joue dans la pr\u00e9paration du dossier, avant m\u00eame la recherche d’\u00e9ventuels acheteurs \u00bb, pr\u00e9vient Franck Rouxel, g\u00e9rant associ\u00e9 chez Rouxel Chapalain Cession, un cabinet sp\u00e9cialis\u00e9 en transmission de fonds de commerce.
\u00ab Il faut recenser les arguments juridiques et les donn\u00e9es d’exploitation qui permettront de n\u00e9gocier la vente sur la base la plus \u00e9lev\u00e9e \u00bb, explique Jean Samper, l’un des experts de la F\u00e9d\u00e9ration fran\u00e7aise de la franchise.
Cela va du contrat avec le franchiseur \u00e0 la composition de l’effectif salari\u00e9 (nature des contrats de travail) en passant par l’\u00e9quipement du magasin (mobilier, caisses, informatique ) et l’\u00e9tat du b\u00e2timent. Deux points de vente r\u00e9alisant le m\u00eame chiffre d’affaires et disposant d’une surface identique peuvent avoir des valeurs diff\u00e9rentes si, par exemple, l’un d’eux vient de d\u00e9crocher une autorisation d’extension ou si des travaux d’am\u00e9nagement vont \u00eatre r\u00e9alis\u00e9s dans la commune o\u00f9 il est install\u00e9. La nature du contrat de bail est un autre \u00e9l\u00e9ment d’appr\u00e9ciation capital. Le franchiseur est parfois propri\u00e9taire des murs. Difficile, d\u00e8s lors, de vendre le fond de commerce \u00e0 une enseigne concurrente. C’est autant de possibilit\u00e9s en moins pour l’affili\u00e9 de faire monter les ench\u00e8res. <\/div>\n<\/p><\/div>\n<\/p><\/div>\n

La marge de manoeuvre du vendeur d\u00e9pend aussi des engagements auxquels il est soumis en vertu de son contrat de franchise. Peut-il c\u00e9der son bien sans r\u00e9serves, y compris \u00e0 un concurrent ? La r\u00e9ponse est souvent n\u00e9gative. La plupart des enseignes pr\u00e9voient des clauses restrictives dans les contrats (droit de pr\u00e9emption, clauses de non-concurrence) pour emp\u00eacher leurs adh\u00e9rents de quitter facilement le r\u00e9seau. Les points de vente repr\u00e9sentent des parts de march\u00e9 d’autant plus convoit\u00e9es que les ouvertures de nouvelles surfaces sont rares. <\/div>\n<\/p><\/div>\n<\/p><\/div>\n

Soumettre le contrat aux juristes<\/h3>\n
Le vendeur doit donc commander un audit de son contrat, afin de conna\u00eetre ses droits, avant de contacter un acqu\u00e9reur. Il peut confier cette mission \u00e0 des interm\u00e9diaires rompus \u00e0 cet exercice (avocats d’affaires ou cabinets sp\u00e9cialis\u00e9s en transmission de fonds de commerce) qui porteront le dossier devant les tribunaux si certaines clauses du contrat apparaissent contestables.<\/div>\n<\/p><\/div>\n<\/p><\/div>\n<\/p><\/div>\n

Autre recours possible<\/strong> : soumettre le contrat aux juristes d’une enseigne concurrente qui le d\u00e9cortiqueront avec l’espoir d’y trouver une faille. \u00ab Les enseignes doivent \u00e0 la fois d\u00e9fendre leur r\u00e9seau et prendre des magasins \u00e0 leurs concurrent<\/strong>s. Leurs services juridiques se livrent \u00e0 un v\u00e9ritable jeu de parade-riposte \u00bb, indique Henri Pajot, le directeur g\u00e9n\u00e9ral de Sofinedis, une filiale de Carrefour sp\u00e9cialis\u00e9e dans le financement de pr\u00eats aux franchis\u00e9s. \u00ab Le vendeur se retrouve souvent au milieu d’un combat de Titans \u00bb, note Franck Rouxel. <\/div>\n<\/p><\/div>\n<\/p><\/div>\n

Une surench\u00e8re entre enseignes<\/strong> qui profite de fait au vendeur. L’enseigne concurrente offrant la plupart du temps un prix d’achat sup\u00e9rieur \u00e0 celui annonc\u00e9 par le franchiseur. Mais attention \u00e0 ne pas se jeter dans les bras du concurrent. S’il accorde son aide, c’est uniquement dans l’espoir de racheter le magasin. Il n’entend pas, pour autant, faire de concessions. L’acqu\u00e9reur exigera des garanties de passif importantes ou cherchera \u00e0 jouer sur les conditions de paiement. Des clauses \u00e0 \u00e9tudier l\u00e0 aussi avec attention. \u00ab Le jour de la signature de la promesse de vente, les n\u00e9gociations ont dur\u00e9 de 9 heures \u00e0 minuit non stop, alors que le prix de cession avait d\u00e9j\u00e0 \u00e9t\u00e9 arr\u00eat\u00e9 \u00bb, se souvient ce franchis\u00e9 Intermarch\u00e9 qui a vendu son magasin de 1 200 m2 \u00e0 un concurrent l’an dernier. <\/div>\n<\/p><\/div>\n<\/p><\/div>\n
