La soci\u00e9t\u00e9 franchiseur est propri\u00e9taire de la marque, symbole de l’identit\u00e9 et de la r\u00e9putation du r\u00e9seau. La marque associ\u00e9e au concept constitue l’enseigne, propri\u00e9t\u00e9 du franchiseur qui est, en outre, responsable de la strat\u00e9gie du r\u00e9seau. L’enseigne peut ainsi \u00eatre c\u00e9d\u00e9e avec le r\u00e9seau qui en d\u00e9pend.<\/div>\n<\/p><\/div>\n<\/p><\/div>\n<\/p><\/div>\n

3 \u0096 Les principes relatifs \u00e0 la primaut\u00e9 du contrat<\/h3>\n
Le contrat de franchise d\u00e9finit les droits et obligations de chacune des parties, il droit traduire le positionnement strat\u00e9gique du r\u00e9seau de franchise et comporte l’indication des moyens n\u00e9cessaires pour atteindre la r\u00e9alisation du concept de franchise. Si l’enseigne est c\u00e9d\u00e9e avec le r\u00e9seau, les franchis\u00e9s b\u00e9n\u00e9ficient donc de garanties contractuelles.<\/div>\n<\/p><\/div>\n<\/p><\/div>\n<\/p><\/div>\n

4 \u0096 Les 2 principes relatifs \u00e0 la cessibilit\u00e9 du contrat de franchise<\/h3>\n
–\u00a0Si le franchis\u00e9 veut c\u00e9der son entreprise : les clauses restrictives de la libert\u00e9 des franchis\u00e9s ne peuvent \u00eatre valables que si elles sont justifi\u00e9es et proportionn\u00e9es \u00e0 l’objectif, notamment la clause intuitu personae. Le franchiseur s\u00e9lectionne les candidats en fonction de leurs comp\u00e9tences et des crit\u00e8res propres \u00e0 son enseigne. Le contrat de franchise est donc intuitu personae avec le franchis\u00e9 et non sa soci\u00e9t\u00e9. Il est donc incessible sans l’accord du franchiseur.
–\u00a0Si le franchiseur veut c\u00e9der le r\u00e9seau : le franchiseur doit alors tenir compte de l’int\u00e9r\u00eat des franchis\u00e9s. Le candidat franchis\u00e9 choisit un concept d\u00e9velopp\u00e9 par une soci\u00e9t\u00e9 propri\u00e9taire et repr\u00e9sent\u00e9e par l’un de ses dirigeants.
